Referral Commission Terms

These Referral Commission Terms explain the basis on which Bright Webs ("we", "us" or "our") rewards an individual ("referrer", "you" or "your") who introduces a client to us for a project. Any different arrangement must be expressly agreed with Bright Webs in writing.

1. Commission Entitlement

For a client referral that results in a paid project with Bright Webs, the referrer's commission is five per cent (5%) of the net project revenue, as defined below. A referral alone, without a paid project, does not generate a commission.

2. Basis of Calculation

For the purposes of these terms, net project revenue means the amount actually received and retained by Bright Webs for the referred project, less the costs reasonably attributable to planning, developing, setting up and executing that project.

Commission = 5% × (project payments received and retained − attributable project costs).

The total amount quoted or invoiced to the client may include both project costs and revenue. Accordingly, the commission is calculated on the balance remaining after those costs have been deducted, rather than on the total quotation, invoice or client payment. Unpaid amounts and refunded payments are excluded. Where no positive balance remains, no commission is payable.

3. Deductible Project Costs

Bright Webs will determine and record the costs attributable to the project. These may include, without limitation:

• Project planning, design, development, configuration, testing and implementation costs;

• Domain registration or transfer, website hosting and related setup charges;

• Email hosting and configuration costs;

• Third-party tools, software, licenses, plugins, integrations and services used for the project; and

• AI subscriptions and other development assistance tools used to support or accelerate delivery of the project.

Where a subscription or tool is shared across projects, only the proportion reasonably attributable to the referred project will be included. The same cost will not be deducted more than once.

4. Illustrative Calculation

If Bright Webs receives and retains ₦500,000 for a project and the attributable project costs are ₦300,000, the net project revenue is ₦200,000. The referral commission is therefore 5% × ₦200,000 = ₦10,000. This example is illustrative and does not represent a quotation or guaranteed commission.

5. Requests for a Cost Breakdown

You may request a breakdown of the production costs and commission calculation for a project you referred through our contact form. Please identify yourself and the client or project so that we can verify the referral and respond to your request. Information supplied will be subject to appropriate protection of client information and third-party confidential details.

6. Confirmation and Payment

Please identify yourself as the referrer when making the introduction so that Bright Webs can confirm and record the referral. The commission amount will be confirmed against the payments received and attributable project costs. Payment arrangements will be communicated directly to you. Any project-specific variation must be confirmed in writing.

7. Responsibility to Review These Terms

Please review these terms and request any clarification before referring a client. By proceeding with a referral after these terms have been made available to you, you accept this commission structure, subject to applicable law and any separate written agreement. Choosing not to read terms made available to you does not, of itself, change the calculation basis or entitle you to 5% of the total client bill.

8. Existing Agreements and Applicable Rights

These terms do not override a separate written referral agreement or remove rights arising under applicable law.
